Terms of service.

These Terms cover every Abscode service: Abscode DMS, Abscode Document AI (the hosted extraction and document-analysis APIs), the Mobile Imaging SDK, the Browser Imaging Library and the Server Imaging SDK. They replace the separate terms previously published for Abscode DMS; that URL now redirects here.

1. Agreement

These Terms of Service form a binding agreement between you (or the organisation you represent) and Abscode Technologies LLP, Bengaluru, India. By creating an account or using any Abscode service you agree to them. Where you accept on behalf of an organisation, you confirm you are authorised to bind it.

2. The services

• Abscode DMS — cloud document management with workflow, approvals, search and an audit trail.
• Abscode Document AI — hosted REST APIs for data extraction and rule-based document analysis.
• Mobile Imaging SDK, Browser Imaging Library and Server Imaging SDK — licensed developer libraries.

3. Accounts and eligibility

You must give accurate registration details, keep your credentials secure, and are responsible for activity under your account and API keys. You must be legally able to enter a contract.

4. Acceptable use

You may not use the services to process content you have no right to process, to break the law, to infringe intellectual property, to attempt to circumvent licence enforcement, rate limits or credit limits, to reverse-engineer or redistribute our libraries outside an OEM agreement, or to attack or degrade the service or other customers.

5. Fees, trials and billing

• Abscode DMS — billed per year on usage (concurrency, storage and AI), never per user. A free edition is available on a standing basis; a free tenant inactive for 90 days is deleted.
• Document AI — metered. You pay the greater of your monthly minimum and your metered usage, billed monthly in arrears. The free trial credit is one-time per organisation and non-refundable.
• Developer libraries — annual, 3-year or 5-year licences, paid up front.
• Prices exclude tax; GST is added at the prevailing rate in India. Billing is regional.

Refunds

SDK licence cancellations are refunded pro rata within 30 days of purchase. Charges for consumed metered usage are non-refundable except where law requires otherwise. For a DMS subscription cancelled mid-term, contact [email protected].

Price changes

We may change pricing prospectively with notice. A price change does not take effect inside a term you have already paid for.

6. Customer Content and ownership

You retain all rights in the documents and data you submit or store (“Customer Content”). You grant us only the licence needed to host, process and deliver the service to you. We do not use Customer Content to train machine-learning models.

7. Our intellectual property

The services, the libraries, their documentation and our trademarks remain ours. A licence grants you the right to use a library in your own application; it does not transfer ownership or permit redistribution as a standalone product. OEM redistribution requires a separate agreement.

8. Third-party and storage services

Payment processing, email delivery and hosting are provided by third parties under contract. Where an Enterprise DMS customer elects bring-your-own-storage, that storage provider's terms govern that storage and our commitments in respect of it are limited accordingly.

9. Availability

Abscode Document AI carries a 99.5% monthly uptime SLA, with service credits of 10% below 99.5%, 25% below 99.0% and 50% below 95%, and at least 48 hours' notice of planned maintenance. Enterprise SLAs are negotiated separately, up to 99.95%.

Abscode DMS is provided on a commercially reasonable availability basis and does not carry a published uptime SLA. Enterprise agreements may include one; ask [email protected].

10. Warranties and disclaimers

Except as expressly stated in these Terms, and to the extent permitted by law, the services are provided “as is” without implied warranties of merchantability or fitness for a particular purpose.

Document AI output is a prediction, not a determination. It must not be the sole basis for a decision about credit, KYC, insurance, employment or benefits. Where you are a regulated entity, you remain accountable for the decision and for any human review your regulator requires.

11. Limitation of liability

Neither party is liable for indirect, consequential or punitive losses. Our aggregate liability is limited as set out in the applicable order form or, where there is none, to the fees you paid in the 12 months preceding the claim.

12. Suspension and termination

You may stop using the services at any time and cancel from the portal. We may suspend or terminate access for material breach of these Terms, for non-payment, or for legal or security reasons. For material breach we give 30 days' notice and an opportunity to cure, except where the breach is severe or unlawful, in which case suspension may be immediate. On termination you may export your data on request within 30 days.

13. Governing law

These Terms are governed by the laws of India, and the courts of Bengaluru, Karnataka, India have exclusive jurisdiction. This does not affect mandatory consumer or data-protection rights you have in your country of residence.
